By accessing or using the Innovsourcing website at innovsourcing.com, submitting an inquiry, or engaging our services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.
2. Services
Innovsourcing provides custom product development, manufacturing, prototyping, quality control, and logistics services for US-based brands and businesses. Our services include but are not limited to:
- Custom product design and engineering
- Tooling and mold development
- Mass production manufacturing
- Quality inspection and compliance
- Door-to-door delivery to US destinations
- Brand and packaging design
3. Quotes and Orders
All quotes provided by Innovsourcing are estimates based on the information supplied by the client. Final pricing is confirmed upon review of complete project specifications. Orders are considered confirmed only upon receipt of a written agreement or purchase order and initial payment as agreed.
We reserve the right to decline any project at our discretion.
4. Intellectual Property
Any designs, sketches, files, or materials you submit to us remain your intellectual property. By submitting materials, you grant Innovsourcing a limited license to use them solely for the purpose of fulfilling your project.
Custom designs developed exclusively for your project by our team become your property upon full payment. Generic tooling and molds may be retained by Innovsourcing unless otherwise agreed in writing.
5. Confidentiality
We treat all client project information, designs, and business details as confidential. We do not share your project information with third parties except as necessary to fulfill your order (e.g., freight carriers, material suppliers).
6. Payment Terms
Payment terms are agreed upon on a per-project basis and outlined in the project agreement. Typical terms include a deposit before production begins and final payment before shipment. Late payments may result in production delays or order cancellation.
7. Quality and Inspection
We conduct quality inspections during and after production. While we make every effort to ensure products meet agreed specifications, minor variations in color, dimensions, or materials may occur within industry-standard tolerances. Significant defects reported within 30 days of delivery will be addressed at our discretion through replacement, rework, or partial refund.
8. Shipping and Delivery
Estimated delivery timelines are provided in good faith but are not guaranteed. Innovsourcing is not liable for delays caused by customs clearance, freight carrier issues, force majeure events, or circumstances beyond our control. Risk of loss transfers to the client upon handover to the freight carrier unless otherwise agreed.
9. Limitation of Liability
To the maximum extent permitted by law, Innovsourcing's total liability for any claim arising from our services shall not exceed the amount paid by the client for the specific project giving rise to the claim. We are not liable for indirect, consequential, or incidental damages.
10. Indemnification
You agree to indemnify and hold harmless Innovsourcing and its team members from any claims, damages, or expenses arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.
11. Governing Law
These Terms are governed by and construed in accordance with applicable international commercial law. Any disputes shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration.
12. Changes to Terms
We reserve the right to update these Terms at any time. Updated Terms will be posted on this page with a revised date. Continued use of our services after changes constitutes acceptance.
